Terms of Service

These Terms of Service ("Terms") govern your use of the RestockKit application ("the App") provided by NerdLabs ("we," "us," or "our"). By installing or using RestockKit, you agree to these Terms.

1. Service Description

RestockKit is a Shopify application, embedded in the Shopify admin, that monitors a merchant's inventory levels and notifies the merchant when a product drops to or below a threshold the merchant configures. Alerts are delivered by email, Slack, or CSV export, instantly or as a scheduled digest, according to the rules you set. RestockKit also provides a low-stock dashboard summarizing your monitored variants.

2. Account and Eligibility

• You must have an active Shopify store to use RestockKit.
• You must have the authority to grant RestockKit access to your Shopify store.
• You are responsible for the alert rules, thresholds, and recipients you and your staff configure.
• You are responsible for the security of your Shopify account and for who on your staff can access the App.

3. Pricing and Billing

• RestockKit offers a Free tier, free forever, monitoring up to 1,000 variants with one scheduled digest and email & CSV alerts.
• Paid tiers are billed through Shopify's billing system: Micro $3.99/month or $39/year, and Growth $9.99/month or $99/year. Paid tiers monitor unlimited variants and add instant alerts, Slack, and unlimited recipients; Growth adds reorder tools.
• A 7-day free trial applies to your first paid subscription.
• You may cancel at any time from within the App. Downgrading to the Free tier keeps your data.
• We reserve the right to change pricing with 30 days' notice.

4. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract source code from the App
• Use automated systems to scrape or extract data from the App beyond normal use
• Resell, sublicense, or redistribute access to the App
• Interfere with or disrupt the App's infrastructure

5. Data and Privacy

Your use of RestockKit is also governed by our Privacy Policy. By using the App, you consent to the collection and use of data as described therein. RestockKit stores no customer (buyer) personal data.

You retain ownership of all your store data, inventory information, and alert configuration. We claim no ownership rights over your data.

6. Third-Party Integrations

RestockKit integrates with Shopify's platform and APIs, and — if you enable them — with Slack (via an incoming webhook you provide) and with email delivery. Your use of these integrations is also subject to:

We are not responsible for the availability, accuracy, or policies of third-party services.

7. Accuracy and Timeliness of Alerts

RestockKit evaluates the inventory data Shopify sends it and delivers alerts on a best-effort basis. While we strive for reliability:

• Alerts depend on the timeliness and accuracy of the inventory updates Shopify delivers, and on the thresholds and rules you configure.
• Email and Slack delivery depends on third-party services outside our control, and an alert may be delayed or fail to arrive.
• You are solely responsible for your purchasing and restocking decisions; RestockKit is not a substitute for your own inventory management.

8. Limitation of Liability

To the maximum extent permitted by law:

• RestockKit is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.
• We are not liable for lost sales, stockouts, over-ordering, or other business losses arising from the use of, or reliance on, the App or its alerts.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We will make reasonable efforts to notify you of planned downtime.

10. Termination

• You may terminate your use at any time by uninstalling the App from your Shopify store.
• We may suspend or terminate your access if you violate these Terms.
• Upon termination, your access tokens are deleted immediately and your data will be deleted within 30 days per our Privacy Policy.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance. We will notify you of material changes via the App or email.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through good-faith negotiation first, then binding arbitration if necessary.
